Practice Areas and Work Experience

Li Shiwen holds a Master of Laws from China University of Political Science and Law and a Master of Laws from Washington University in St. Louis. Her practice focuses on comprehensive corporate services, corporate listing (IPO), mergers and acquisitions, and corporate restructuring.

She is highly experienced in contract management for enterprises and institutions, legal risk management and control in daily operations, decision-making support, crisis management, negotiations, and the drafting and review of legal documents. She also possesses extensive expertise in areas including corporate listings, legal risk management during daily operations, M&A and restructuring, and the preparation and examination of legal documentation.

She had participated in the special asset acquisition/bankruptcy reorganization investment project of a ChiNext listed company, and the issuance of shares to specific objects. The project is based on the traditional “equity investment M&A”, “asset investment M&A” and “control investment M&A”, completed the legal service practice of “special asset investment M&A”, and won the “2022 Outstanding Deal” by China Business Law Journal and the 2023 Asian M&A Deal of the Year at The Asia Legal Awards (ALM).

Key Projects

  • Participated in the compliance management system construction projects of CNPC, Beijing Subway, Beijing Daxing International Airport, Beijing Capital Development Co., Ltd., Triumph Science& Technology Co., Ltd. (a second-class wholly state-owned enterprise under China National Building Materials), and Shanxi Sanjian Group Co., Ltd.

  • Led the completion of the “2022 Proposal for the Protection of Foreign Rights and Interests of Foreign Investors” by the Complaint Center for Foreign-funded Enterprises of the Ministry of Commerce.
  • Once served as the perennial legal counsel of the China Circular Economy Association, and regularly reviewed cooperation agreements signed by the association with international organizations, embassies and consulates, foreign foundations, and foreign public welfare organizations.
  • Independently represented a certain level of government in a foreign-related contract dispute with Taiwan investor Ni Shiqi, balancing the rights and interests of Taiwan investors and the public interests in the Chinese mainland.
  • Participated in a equity dispute case of a Malaysian company.
