Practice Areas and Work Experience

Lawyer Dai Qin holds a Master’s degree in International Business and Commercial Law from the University of Manchester, UK. She has been recognized by the Ministry of Justice of the People’s Republic of China as one of the “Top 1,000 Foreign-Related Lawyers.” Additionally, she serves as the Liaison Officer for Foreign-Related Lawyers in Guizhou Province — a position held by only one person per province. Dai is also a lecturer for the Foreign-Related Legal Services Lecture Series organized by the All-China Lawyers Association and was one of 50 lawyers selected for the “2019 Foreign-Related Lawyers Training Program” in the United States. She is a member of the Expert Advisory Panel of the Guizhou Provincial Government’s Legal Advisory Office and has long served as a legal advisor to various institutions. She also acts as a project evaluation expert for the Guizhou Provincial Department of Commerce. Furthermore, Dai is a participant in the Ministry of Justice’s Senior Foreign-Related Talent Training Program and a member of the Public Welfare and Social Responsibility Committee of the All-China Lawyers Association.

Dai specializes in cross-border bankruptcy, foreign investment, mergers and acquisitions, and intellectual property law. She has advised numerous overseas-listed companies and large state-owned enterprises on both litigation and non-litigation matters, including the delisting and closure of their overseas subsidiaries. She has also supported companies in investment deals, M&A transactions, and compliance work — ensuring smooth negotiations and successful outcomes. In the area of intellectual property, she has worked with several global luxury brands to protect their trademarks and related rights in China. Additionally, Dai has assisted clients in identifying and completing cross-border investment projects, guiding them through the full process — from sourcing opportunities to closing deals — while effectively managing legal and operational risks.

Key Projects

  • Provided legal services for a certain France-based oil company with respect to technical cooperation with a certain Xinjiang-based oil company, involving cross-border sale and purchase of technologies, maximum compensation, subsequent technology upgrades and technical services, etc.
  • Assisted a certain listed company in handling the guarantee dispute between its subsidiary and Beijing Huarong Yufu Equity Investment Fund Management Co., Ltd.
  • Assisted a certain listed company to acquire two target companies in Yunnan, providing such services as agreement drafting, project negotiation, due diligence, handling of subsequent disputes over shareholder equity inheritance, of disputes over crop acquisition, etc.
  • Assisted a certain overseas listed company in delisting and a series of relevant legal actions, including dismantling of offshore red chip structure, connection with overseas lawyers, legal opinions on company bankruptcy, and handling of guarantee disputes on overseas bond issuance and sale contracts, of disputes on cross-border debts collection by various financial institutions, of disputes on construction projects, of disputes on fund contracts, of disputes on labor contracts, etc.
  • Assisted a certain Hong Kong-based technology-oriented listed company in responding to tax arrangement matters in the IPO process, including review of the tax opinions of Ernst & Young Hong Kong and provision of legal opinions, analysis of the company’s shareholding structure, legal opinions on the linking of voting rights of shareholders of its parent company and subsidiaries, legal opinions on shareholders’ control rights and tax arrangements, etc.
  • Provided perennial legal services to Guiyang Free Trade Zone Management Committee, including on policy sorting and establishment of enterprises in the Free Trade Zone, etc.
  • Negotiations and review of agreements with respect to the cooperation between Guiyang High-Tech Industrial Investment Co. Ltd. and India
  • Assisted the Switzerland-based group Richemont in the protection in China of the intellectual property rights of a number of its brands (including Vacheron Constantin, Dunhill, Cartier, etc.).
  • Assisted clients in handling disputes over their personal injury and housing sale and purchase contracts outside China.
