Katherine’s practice focuses on M&A (including restructuring and divestiture), Investment and Financing, as well as Corporate & Compliance. She possesses solid expertise and extensively practical experience in such transactional practices, including without limitation, conducting due diligence, identifying and assessing legal risk, formulating legal solution, as well as architecting, drafting, negotiating, revising, and finalizing legal documentation.

In M&A practice, she, on the basis of understanding the client’s business essence and core requirements, has excelled at seeking an insight into core risks in projects and putting forward pragmatic solutions or strategies in accordance with legal rules and actual status of projects. This approach has successfully facilitated domestic and foreign clients executing and closing multiple cross-border and domestic M&A transactions with minimized exposure.

In terms of Investment and Financing practice, she, through systematic thinking and prudent risk management, provided numerous prominent provincial state-owned enterprises, central state-owned enterprises, and privately-owned companies with pragmatic and efficient legal services for financing in domestic and overseas capital markets (including initial public offerings (IPO), seasoned equity offerings, rights issues, and restructuring of listed company). In addition, she has also provided legal services related to foreign direct investment for multiple domestic or foreign enterprises.

In the realm of Corporate & Compliance practice, she has provided legal and regulatory supports to a number of multinational corporations for complex/strategic commercial projects or business strategies across their core business lines in China and Southeast Asia, prudently balancing commercial aspiration with risk control. Her key contributions have been recognized by the clients.

Katherine joined BZW (Shanghai) Law Firm (“BZW”) in 2026. Before joining BZW, she had prior experience with both a renowned law firm and several leading multinational corporations. Additionally, she sat on the Group-level Investment Committee and served as a Director or Supervisor of controlled subsidiaries at a leading domestic industrial gas group.

Key Projects

  • Acquirer’s Lead PRC In-house Counsel: Advised a leading domestic industrial gas group on its cross-border acquisition of ASU assets from a Malaysian gas off-taker for approximately RMB 300 million;
  • Acquirer’s Lead PRC In-house Counsel: Advised Air Liquide’s PRC-based investment vehicle on its approximately RMB 3.7 billion acquisition of equity interests in a foreign-invested chemical enterprise;
  • Acquirer’s Lead PRC Counsel: Advised a PRC-based utilities investment vehicle backed by a Singapore sovereign wealth fund on its approximately RMB 800 million acquisition of business assets from a domestic state-owned energy enterprise;
  • Issuer’s Lead PRC Counsel: Advised a Shanghai-based privately-owned manufacturer on all PRC legal and regulatory matters in connection with its HKD 30 million HKEX GEM IPO;
  • Issuer’s Primary PRC Counsel: Advised a central state-owned manufacturer on PRC legal and regulatory matters in its over HKD 2.8 billion HKEX IPO;
  • Issuer’s Primary PRC Counsel: Advised a central state-owned financial institution on PRC legal matters and regulatory compliance in connection with its USD 3 billion NYSE IPO.
